Smoothing M&A Integration

More emphasis should be placed on front-end work, things that must be done well in advance of the merger or acquisition. Among the key questions to ask prior to seeking out potential merger or acquisition candidates:
  • What are the reasons we want to consider merging with or acquiring another company?
  • Which of these are financial, which are operational, which are tactical and which are strategic?
  • How sound are these reasons?
  • Are any of our reasons clouded by political or emotional issues and in what ways?
  • How integrated are we prepared to make the two companies?
  • What management talents and strengths will we need to operate the new entity?
  • How will the process be managed?
  • What value will we add to them?
  • What value do we hope they will add to us?

In-depth discussion of these questions at the senior executive level can do a lot to shape the foundation on which the merger or acquisition can be built and will prove invaluable to deciding whether the process should commence.
